{"id":756,"date":"2020-02-25T15:08:17","date_gmt":"2020-02-25T14:08:17","guid":{"rendered":"https:\/\/www.julianhagen.net\/?page_id=756"},"modified":"2023-03-17T16:46:49","modified_gmt":"2023-03-17T15:46:49","slug":"agb","status":"publish","type":"page","link":"https:\/\/www.julianhagen.net\/en\/agb\/","title":{"rendered":"AGB"},"content":{"rendered":"<p class=\" translation-block\"><strong>General Conditions of Contract\nDesign Austria (GCC DA)<\/strong><br><\/p>\n\n\n\n<p class=\" translation-block\">1.\nApplicability\nThese General Conditions of Contract (GCC) apply to all design\ncontracts (creative services) between Designer, DA, and\nDesigner\u2019s Client. They may not be used for the sale of originals\nor for commercial services.\n<br><br>\n2.\nBasis for the Collaboration\n2.1. The basis of every contract is the framework (briefing)\nprovided by Client, whose requirements are to be fulfilled by\nDesigner. Within the framework of the briefing, freedom of\ndesign is allowed in carrying out the commission.\n2.2. Designer is to create the work autonomously and in\nperson, but nevertheless has the right to enlist the services of\ncompetent associates or partners.\n2.3. Any possible consultancy on the part of Designer must\nremain strictly within the area of design. The liability for an\n\u00bbexpert opinion\u00ab shall remain confined to this area, in accordance\nwith the ABGB (Allgemeines b\u00fcrgerliches Gesetzbuch) [the Civil\nCode of Austria] (Article 1299).\n2.4. Client shall ensure that Designer receives in good time\nand in full all documents and details, as well as instructions, that\nare necessary to optimally fulfil the commission.\n<br><br>\n3.\nProprietary Right and Right of Use\n3.1. Insofar as nothing else has been agreed upon between\nClient and Designer, Designer grants Client exclusive use of the\nwork (exclusive right of use), with the exception of any possible\nprogramming services\n3.2. Upon payment of the total fee and additional expenses,\nClient acquires the agreed-upon right of use to the works created\nin fulfilment of the commission, in the form in which they are\ndelivered and for the agreed purpose and scope of use. If no\nagreement has been made as to the purpose and scope of use,\nthe minimum scope necessary to the fulfilment of the commission\nshall apply. Every other or further future use can only be provided\nwith the concurrence of Designer and against compensation.\n3.3. Any modification, revision, or imitation of the works\nconveyed for use is inadmissible, so long as the right to alteration\nhas not been previously granted in writing and against\ncompensation.\n3.4. The rights granted Client (or in the case of an agent,\nthe agent\u2019s customer) may only be conferred on a third party \u2013\nwhether gratuitously or for a consideration \u2013 with Designer\u2019s\nexpress consent.\n3.5. Client acquires no ownership of the designs,\nelaborations, or computer data. In the case of a singular\nsuccession, all rights and obligations devolve upon the legal\nsuccessor; however, only within the scope agreed upon by\nDesigner, DA, and Client. Any possible expansion of the uses\nby the legal successor requires under all circumstances the\nagreement of Designer, DA.\n3.6. A licence for unrestricted right of use is required should\nClient wish to continue to use in unaltered form the concepts,\nideas, or works that were developed or designed after either\ncompletion of, withdrawal from, or termination of a contract or\nservice agreement. If said concepts, ideas, or works are to be\naltered, brought up to date, or utilised as the basis for further\ndevelopment by Client or a third party, the granting of the right\nto alteration by a third party is additionally required. A further\nagreement is also obligatory should Client wish to receive and\nkeep the computer data.\n<br><br>\n4.\nCompensation for Presentations\n4.1. All of Designer\u2019s services are to be compensated, with\nthe exception of the preparation of service, time, and cost proposals\nnecessary to making the bid.\n4.2. The invitation issued by Client to prepare a presentation\nwith preliminary sketches shall be regarded as a commission\nto provide a defined specification of services. The amount of the\ncompensation for the presentation is freely negotiable and\ncomprises half of the usual fee for a design, as deemed\nappropriate under Articles 1004 and 1152 of the ABGB, provided\nnothing else has been agreed upon. Once the presentation has\nbeen made, the presentation contract is considered as having\nbeen awarded, accepted, and fulfilled.\n4.3. Upon conclusion of the presentation, should Client or\nthe initiator of a presentation competition not award Designer\nor another presentation competitor contract at all, or only one\nthat has been considerably reduced, Designer is entitled to\nfull compensation for the design, instead of the (reduced)\npresentation fee.\n4.4. The presentation fee includes no granting of rights of use.\n<br><br>\n5.\nService, Services Provided by Third Parties,\nand Production Monitoring\n5.1. A suitable payment in accordance with Articles 1004 and\n1152 of the ABGB will be provided as agreed for rendering the\ndesired services, including the submission of the production data.\nThe transfer of development data is only considered part of the\nservice when this has been set forth in writing and an additional\nfee has been agreed upon.\n5.2. Designer is authorised to either personally perform\nnecessary or negotiated support services in connection with the\ncontract against customary local compensation therefor or to\nengage a third party on behalf and for the account of Client.\n5.3. The coordination and monitoring of the reproduction\/\nproduction (such as colour or print monitoring) may be awarded\nby Client to external production experts or to Designer. Such\nservices require a separate contract and shall be provided against\npayment.\n<br><br>\n6.\nReturn and Storage\n6.1. Client shall receive all documents, intermediate results,\ndesigns, conception descriptions, and elaborations in trust. Until\nClient has acquired the rights of use, as well as in the case of\ndenial (waiver of use), Client may not make copies of them, store\nthem in computer systems, or make them available to third parties\neither for viewing or further development, unless the third\nparty is an opinion research institute that has been engaged for\ndecision-taking purposes.\n6.2. As soon as the original sketches and computer data are\nno longer necessary for the agreed application, they shall either\nbe sent back or handed over to Designer in an undamaged state\nfor the risk and account of Client.\n<br><br>\n7.\nLiability\n7.1. Designer shall not be liable for slight negligence. In the\ncase of gross negligence, Designer must assume liabilities up to\nthe amount of his or her fee (excluding additional expenses and\nvalue added tax).\n7.2. Designer must be notified of any deficiencies, with a\nrequest for their rectification, within a reasonable period of time\nimmediately after the receipt of services. Any costs arising from\nthe engagement of a third party to remedy a deficiency despite\nDesigner\u2019s willingness to carry this out personally must be borne\nby Client. All claims to rectification lapse after a period of six\nmonths.\n7.3. Designer bears no responsibility for the legal\nadmissibility \u2013 in particular with regard to competition, trademark,\nand administrative legislation \u2013 of the designs and elaborations.\nDesigner is also not liable for the correctness of texts and images\nwhen the works have been approved by Client or when the\ndocuments have at least been offered to Client for inspection.\n7.4. Insofar as Designer enlists the necessary or agreed-upon\nservices of others on behalf and for the account of Client, the\nrespective contractors shall not be considered as subcontractors\nof Designer, DA.\n7.5. The documents provided by Client (photos, texts,\nmodels, patterns, etc.) shall be used by Designer under the\npresumption that Client is entitled to their use and that in\ndeveloping or using them, no rights of any third party are being\ninfringed upon. For every kind of unlawful use, Client is liable\nto Designer under Article 86 of the Austrian Copyright Act\n[Urheberrechtsgesetz (UrhG)] in the amount of twice the\nappropriate fee for this use, inasmuch as such use has at least\nbeen enabled through Client\u2019s negligence or tolerance of it.\n<br><br>\n8.\nIdentification and Reference Copy\n8.1. Under Article 20 of the Austrian Copyright Act,\nDesigner is entitled to affix his or her name, pseudonym,\ncompany name, or logo to each of the works\/products Designer\nhas created, as well as to the advertising materials for or\npublications about them. The form and duration of the labelling\nmay be arranged with Client.\n8.2. Under Article 26 of the Austrian Copyright Act,\nDesigner retains the right to employ for promotional purposes\nprinted images of the works\/products he or she has designed,\nor to make these images available in the World Wide Web for\nthe same purposes.\n8.3. In the case of three-dimensional objects, Designer is\nentitled to the gratuitous use of visual images of the objects that\nwere produced with the aid of his or her design solution, and\nalso should receive a reference copy, so long as the latter does\nnot involve disproportionately high costs. In the case of printed\nworks, Designer is entitled to a minimum of five copies of the\nworks he or she has designed.\n<br><br>\n9.\nWithdrawal and Cancellation\n9.1. After submission of the first presentation, Client and\nDesigner are each entitled to withdraw from the contract without\nstating reasons. However, the presentation fee, according to\nPoint 4.2 of the GCC DA, shall nevertheless be paid by Client.\n9.2. Should Client cancel the contract during the design or\nelaboration phase or within a valid framework agreement for\nreasons for which Designer is not responsible, or if Client reduces\nthe scope of the contract, Client is obliged to remunerate the\ndesign fee plus the support services and expenses that have\naccrued to date.\n9.3. Irrespective thereof, Designer is entitled to\ncompensation for provided but not used work capacity and to\ncharge Client for any possible damage suffered therefrom.\nCompensation for use does not apply, and Designer retains all\nrights.\n<br><br>\n10.\nFinal Provisions\n10.1. This GCC DA, as well as all framework agreements,\ncannot be modified or amended except in a written instrument.\n10.2. Exclusively Austrian law shall apply.
